Affiliation Agreement with Biuky
This Agreement covers
the contractual relationship between the Affiliate (from now on referred to as
Affiliate or You) and Miscota E-Commerce S.L (henceforth referred to as Merchant
or We). Biuky.co.uk and its various domains will all be referred to as the Site.
1. Acceptance of the
Affiliation Program
1.1. To proceed with
this agreement and to confirm Your acceptance, Miscota E-Commerce S.L requires
you to submit all and for the Merchant to collect all the Affiliate billing
informing along with the data identifying webmaster/ blogmaster.
1.2. This program is
meant for web pages in English for English markets and for Site´s which
interfaces are in English.
1.3. The Merchant
reserves the right to reject any application for the program. Furthermore they
have every right to cancel the contract if they believe that they have detected
any misuse of their promotion programs or any connections with inappropriate
content.
2. Integration of the
store:
2.1. The Merchant will
provide the Affiliate with the technical information, to a reasonable extent,
that is necessary for the integration of the shop via an iFrame.
2.2. An affiliate has
the right to promote the Store to every and all of their members via e-mails,
by banners and other means.
3. Merchant´s
Commitment:
3.1. The Merchant
promises to provide artwork (banners, mailings, buttons, logos) to be used for
promotions with the intent of increasing sales.
3.2. The Merchant
handles all procedures from the placing of orders thru the payment process to
the deliveries, from customer care to after sales services.
4. Billing Method:
4.1. Affiliate income
depends on the sales generated by the Affiliate. The commission to be paid is
10% for the initial purchases of any new users (percentage is of the value of
the products, excluding shipping, coupons and taxes) for monthly invoicing of
less than 10,000 €. Should the sums exceed the latter, refer to special plans.
4.2. If the customer
requests a refund, the value of the commission will be deducted from pending
invoices.
4.3. The Affiliate may
claim his earnings to receive them on his Paypal account at any point of time
when the total value of the Affiliate´s unclaimed commission exceeds 100€.
5.Contact Us
5.1. Area
"Published with us" are a source of income/fringe benefits for selected
affiliates. To qualify for those benefits, the Affiliate must complete the
specific form in the sector and meet the requirements. If so, the Merchant will
validate the Affiliate for the extra benefits.
5.2. The Affiliate
waives any right of ownership on any content of the Merchant and may not take
or use any of the Merchant´s property for his personal (or commercial) use
unless otherwise agreed to.
5.3. For every
"post" validated, the Affiliate will receive a "star"
valued at € 2 per piece. The € earned in this manner will be added in
the billing area.
5.4. The maximum
number of rewarded posts per month is 8.
5.5. For a post to be
valid, it must contain at least 350 words of quality content, provide resources
and links (product URL in the Site) along with pictures of the related product.
There are two goals for the posts. First is to be informative and second is to
increase sales.
5.6 The Affiliate is
responsible to guarantee that the written content is unique and has not been
copied nor duplicated. Otherwise the Merchant has the right to remove the
Affiliate from the affiliate program.
6. Discussion
concerning our products:
6.1 The area “Comment
on Our Products” is another potential source of income/ fringe benefit for
affiliates. To qualify for these rewards, the Affiliate must comment on the
Site’s products and have it validated by the Merchant.
6.2 For every comment
that meets the requirements and has been validated, the Affiliate will receive
a “star” valued at 0,25 € each. The € earned by this method may be added in the
billing section.
6.3 The monthly limit
of rewarded comments is 40.
6.4 For a comment to
be qualified and accepted, it must contain at least 30 words, be creative and
add value to the product while being truthful.
6.5. The Affiliate is
obligated to write unique comments and not copy any content. Otherwise the
Merchant has the right to cancel the partnership with the Affiliate.
6.6 The stars
collected in publishing the content and earned from product reviews are
cumulative.
7. White Label Store:
7.1 Affiliates can request the creation of a white label store on their
blogs/sites/affiliation platforms
7.2 The Merchant
assesses and decides whether it is possible to set up the white label store and
reserves the right to refuse the proposals for any reason.
7.3 If the offer is accepted, the Merchant will integrate an online store with
the Affiliate’s site, respecting its style and design if asked to. However the
checkout process will always take place in the Site.
7.4 The white label store billing follows the same procedures as mentioned in part
4 of this Agreement.
8. Affiliate’s
Responsibilities.
8.1. To ensure the
proper use and implementation of the planned membership and to follow an
accepted style, methodology of promotions.
8.2. The Affiliate will not deal with any complaints from third parties concerning
their partnership with Miscota and its implementations, without receiving the
right to do so from the Merchant.
8.3 The Affiliate will
not use the trademark or property of the Merchant to generate traffic and
exposure to its own webpage. That includes using the Site’s identity solely in
their favour. Furthemore, it’s not allowed to use the same content and bids in
PPC marketing campaigns on platforms such as Google Adwords.
9. Contract.
9.1 The terms of the
contract are written down in this Agreement. However in any case the Merchant
retains the right to cancel or modify the agreement at any time with a notice
informing the Merchant affected of the change 10 days in advance.
9.2 The contract
period is 6 months. Once the time is due, the contract renews automatically for
another 6 months perios.
9.3 The Affiliate has
the right to cancel, with 30 days notice, this contract,
10. Warranties and
Guarantees
10.1 The Merchant is
advised to resolve all incidents and make proper technical and operational
management for all parties involved in the business. This includes the
operations of the Affiliates what concerns the procedures mentioned in this
Agreement.
10.2. The Affiliate is
not required to cover costs or damage caused by the Merchant’s failure to
provide.
Earning generated by
this Affiliate Program can only be monetized in cash via Paypal only or via
coupons.
